Terms of Service

These Terms of Service (“Terms”) govern your use of ReclaimROAS, a Shopify application operated by Sofol Digital (“we”, “us”, “our”), based in Melbourne, Victoria, Australia. By installing or using ReclaimROAS, you agree to these Terms.

1. Service Description

ReclaimROAS is a Shopify application that provides server-side conversion tracking for ecommerce merchants. The app captures purchase and browsing events from your Shopify store and forwards them to your Meta Ads (Facebook/Instagram) and Google Ads accounts via their respective server-side APIs (Meta Conversions API and Google Enhanced Conversions API).

The purpose of the service is to supplement your existing browser-based ad tracking with server-side conversion data, improving the accuracy of your ad platform reporting and optimisation.

2. Eligibility

To use ReclaimROAS, you must:

Have an active Shopify store on a paid Shopify plan
Have authority to install applications on your Shopify store
Have authority to connect your Meta Ads and/or Google Ads accounts
Be at least 18 years of age

3. Account and Access

ReclaimROAS is installed through the Shopify App Store and operates within your Shopify admin. You are responsible for maintaining the security of your Shopify account and any ad platform credentials you provide to the app.

You must not share your ad platform access tokens or credentials with unauthorised parties. If you believe your credentials have been compromised, disconnect your accounts in the app settings immediately.

4. Billing and Payment

4.1 Pricing

ReclaimROAS offers multiple pricing tiers, including a free plan. Current pricing is displayed on our Shopify App Store listing and on reclaimroas.com/pricing. Prices are in US Dollars (USD) as required by the Shopify App Store.

4.2 Payment Processing

All payments are processed through Shopify’s Billing API. Charges appear on your existing Shopify invoice. We do not directly collect or store your payment information.

4.3 Free Trial

Paid plans may include a free trial period. During the trial, you have full access to the plan’s features. At the end of the trial, you will be prompted to approve the recurring charge through Shopify. If you do not approve, your account will revert to the free plan.

4.4 Usage-Based Charges

Some plans include usage-based charges for orders exceeding your plan’s monthly limit. Usage charges are capped at a maximum amount specified in your plan details and are billed through Shopify’s usage billing system.

4.5 Cancellation

You may cancel your subscription at any time by uninstalling the app from your Shopify admin or downgrading to the free plan. Cancellation takes effect at the end of your current billing period. We do not offer refunds for partial billing periods.

5. Your Responsibilities

5.1 Ad Platform Compliance

You are responsible for ensuring your use of Meta Ads and Google Ads complies with those platforms’ respective terms of service, advertising policies, and data use policies. ReclaimROAS sends conversion data to these platforms on your behalf using your credentials and your ad accounts.

5.2 Customer Privacy

You are responsible for complying with applicable privacy laws in the jurisdictions where you operate, including but not limited to the Australian Privacy Act, GDPR (if you serve EU customers), and CCPA (if you serve California customers). This includes:

Maintaining an accurate and up-to-date privacy policy on your store that discloses the use of tracking technologies, including server-side conversion tracking
Obtaining any required customer consent for data collection and tracking
Responding to customer data access, correction, or deletion requests

ReclaimROAS respects Shopify’s Customer Privacy API and will only process tracking events in accordance with the consent signals configured for your store.

5.3 Accurate Information

You are responsible for providing accurate ad platform credentials (Pixel IDs, access tokens, customer IDs) during setup. Incorrect credentials may result in failed event delivery or events being sent to the wrong ad account.

6. Data Handling

6.1 Data Ownership

You retain ownership of all data generated by your store and collected through our app. We process this data on your behalf as a data processor.

6.2 Data Processing

We process your data solely for the purposes described in our Privacy Policy, which include forwarding conversion events to your ad platforms, providing dashboard analytics, and managing your subscription. We do not use your data for our own marketing or advertising purposes.

6.3 Data Security

We implement reasonable technical and organisational measures to protect data against unauthorised access, loss, or alteration. These measures include encryption of data in transit and at rest, secure credential storage, and access controls.

6.4 Data Deletion

Upon uninstallation of the app, we will delete all data associated with your store within 30 days, including events, customer records, session data, and stored credentials. You may also request immediate data deletion by contacting us.

7. Intellectual Property

ReclaimROAS, including its software, design, content, and documentation, is owned by Sofol Digital and is protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the app for its intended purpose.

You may not copy, modify, distribute, reverse engineer, or create derivative works based on our app or its underlying technology.

8. Service Availability

8.1 Uptime

We strive to maintain high availability of our service but do not guarantee uninterrupted access. We may experience downtime due to maintenance, updates, infrastructure issues, or circumstances beyond our control.

8.2 Changes to the Service

We may modify, update, or discontinue features of the service at any time. We will provide reasonable notice of material changes where practicable.

8.3 Third-Party Dependencies

ReclaimROAS depends on third-party services including Shopify, Meta, and Google. Changes to these platforms’ APIs, policies, or availability may affect our service. We are not responsible for disruptions caused by third-party platform changes, though we will make reasonable efforts to adapt to such changes promptly.

9. Limitation of Liability

9.1 No Guarantee of Ad Performance

ReclaimROAS is a tracking tool that improves the accuracy of conversion data sent to ad platforms. We do not guarantee specific advertising outcomes, including but not limited to improved ROAS, reduced CPA, or increased conversions. Ad performance depends on many factors outside our control, including your ad creative, targeting, budget, market conditions, and ad platform algorithms.

9.2 Limitation

To the maximum extent permitted by Australian law, our total liability to you for any claims arising from or related to the service shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

9.3 Exclusion

To the maximum extent permitted by Australian law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, regardless of the cause of action.

9.4 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

10. Indemnification

You agree to indemnify and hold harmless Sofol Digital from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any applicable law or regulation.

11. Termination

11.1 By You

You may terminate your use of the service at any time by uninstalling the app from your Shopify admin.

11.2 By Us

We may suspend or terminate your access to the service if you breach these Terms, if your use of the service poses a security risk, or if we are required to do so by law. We will provide notice of termination where practicable.

11.3 Effect of Termination

Upon termination, your right to use the service ceases immediately. We will delete your data in accordance with Section 6.4.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Victoria, Australia.

12.2 Resolution Process

In the event of a dispute, you agree to first attempt resolution by contacting us directly. If the dispute cannot be resolved informally within 30 days, either party may pursue resolution through the courts of Victoria, Australia, or through mediation.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sofol Digital regarding the use of ReclaimROAS.

13.2 Amendments

We may update these Terms from time to time. We will notify you of material changes by updating the “Last updated” date at the top of this page. Continued use of the service after changes constitutes acceptance of the updated Terms.

13.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13.4 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
